These Terms of Service ("Terms") govern your access to and use of the website, online services, and related platforms operated by Echoframe Media LLC ("Echoframe," "we," "us," or "our"), including https://keybeam.studio and related subdomains (collectively, the "Site").

By accessing the Site, making a purchase, or using any services available through the Site, you ("you" or "User") agree to be bound by these Terms. If you do not agree, do not access or use the Site.

These Terms do not govern your use of the KeyBeam Studio software application. Your installation, activation, and use of KeyBeam Studio is governed by the KeyBeam Studio End-User License Agreement ("EULA"), available at https://keybeam.studio/eula. In the event of a conflict between these Terms and the EULA with respect to the Software, the EULA shall control.

## 1. Eligibility

1.1 **Age Requirement.** You must be at least sixteen (16) years of age to use the Site. By using the Site, you represent and warrant that you meet this requirement.

1.2 **Authority.** If you are using the Site on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" shall include that entity.

1.3 **Compliance.** You are responsible for ensuring that your access to and use of the Site complies with all laws and regulations applicable in your jurisdiction.

## 2. Customer Identity and Records

2.1 **No Login Required for Standard Use.** The current Site and licensing flow do not require a website login account for standard purchase, activation, license retrieval, or renewal operations.

2.2 **Customer Record.** We maintain customer and licensing records tied to your purchase email, payment records, and license key.

2.3 **Information Accuracy.** You agree to provide accurate, current, and complete purchase and contact information and to keep that information current.

2.4 **Security Notice.** You are responsible for the security of your purchase email account and your license key. Notify us immediately at licenses@keybeam.studio if you suspect unauthorized access or misuse.

## 3. Software Purchases and Licensing

3.1 **Available License Types.** The following license options for KeyBeam Studio are available for purchase through the Site, subject to availability and the pricing set forth at the time of purchase:

(i) **Free Trial.** A three (3) day full-feature free trial. No payment information is required. The trial begins upon first activation and expires automatically.

(ii) **Subscription License.** A monthly subscription at the price displayed at checkout. The subscription provides access to the Software and all updates for the duration of the active subscription period.

(iii) **Lifetime License.** A one-time purchase at the price displayed at checkout. The lifetime license grants perpetual use of the version of the Software available at the time of purchase, plus one (1) year of updates from the date of activation.

3.2 **Pricing.** All prices are displayed in United States dollars (USD) and are subject to change. Price changes do not affect existing lifetime licenses. Subscription price changes take effect at the start of the next billing cycle following notice. Current pricing is displayed on the Site at the time of purchase.

3.3 **License Terms.** Your purchase of a license through the Site constitutes your agreement to the EULA. The EULA governs all rights, restrictions, and obligations related to your use of the KeyBeam Studio software. These Terms govern only your interaction with the Site itself.

3.4 **License Key Delivery.** Upon confirmed payment, your License Key is delivered to your purchase email and may be retrieved through the License Portal using your purchase email and transaction token/session flow where available. Delivery method and timing may vary. Echoframe is not responsible for delivery failures caused by incorrect email addresses, spam filters, or email service disruptions on your end.

## 4. Payment

4.1 **Payment Processing.** All payments are processed through Stripe, Inc. By making a purchase, you agree to Stripe's terms of service and privacy policy. Echoframe does not directly collect or store your full credit card number, debit card number, or bank account information.

4.2 **Subscription Billing.** Subscription licenses renew automatically at the beginning of each billing cycle. You authorize Echoframe and Stripe to charge the payment method on file for each renewal period until you cancel.

4.3 **Cancellation.** You may cancel your subscription at any time through the Stripe billing management link in your billing email or by contacting licenses@keybeam.studio from your purchase email. Cancellation takes effect at the end of the current billing period. You will retain access to the Software through the end of the paid period. No partial refunds are issued for unused portions of a billing period.

4.4 **Refund Policy.** Refund requests are handled on a case-by-case basis. To request a refund, contact us at licenses@keybeam.studio within fourteen (14) days of purchase. Echoframe reserves the right to approve or deny refund requests at its sole discretion. Refunds, if approved, will be processed through Stripe to the original payment method.

4.5 **Failed Payments.** If a subscription payment fails, we may attempt to process the payment again. If payment cannot be collected after reasonable attempts, your subscription may be suspended or terminated, and your access to the Software may be deactivated in accordance with the EULA.

4.6 **Taxes.** Displayed prices may not include applicable taxes. You are responsible for all taxes, duties, and levies imposed by your jurisdiction in connection with your purchase, except for taxes based on Echoframe's income.

## 5. Acceptable Use

5.1 **Permitted Use.** You may use the Site to browse information about Echoframe and KeyBeam Studio, purchase and manage licenses, download the Software, access support resources, and communicate with Echoframe.

5.2 **Prohibited Conduct.** You agree not to:

(i) use the Site for any unlawful purpose or in violation of any applicable law or regulation;

(ii) attempt to gain unauthorized access to any part of the Site or any systems or networks connected to the Site;

(iii) interfere with or disrupt the Site, its servers, or connected networks, including through denial-of-service attacks, injection of malicious code, or overloading infrastructure;

(iv) use automated tools, bots, scrapers, crawlers, or similar technologies to access, collect, or extract data from the Site without our prior written consent;

(v) circumvent, disable, or interfere with any security, authentication, or access-control features of the Site;

(vi) impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;

(vii) upload, transmit, or distribute any content that is unlawful, threatening, abusive, defamatory, obscene, or otherwise objectionable;

(viii) use the Site to distribute spam, unsolicited communications, or commercial solicitations;

(ix) attempt to reverse engineer, decompile, or disassemble any portion of the Site;

(x) create multiple accounts to abuse free trials, exploit promotions, or circumvent license restrictions;

(xi) resell, redistribute, or commercially exploit access to the Site or any content obtained through the Site without our prior written consent; or

(xii) use the Site in any manner that could damage, disable, overburden, or impair Echoframe's systems or interfere with any other party's use of the Site.

## 6. Intellectual Property

6.1 **Echoframe Ownership.** The Site and all content on the Site, including but not limited to text, graphics, logos, icons, images, audio, video, software, code, and the design, selection, and arrangement thereof, are the exclusive property of Echoframe Media LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 **Trademarks.** "Echoframe," "KeyBeam Studio," and all related names, logos, product and service names, designs, and slogans are trademarks of Echoframe Media LLC. You may not use these marks without our prior written consent. All other trademarks, service marks, and trade names appearing on the Site are the property of their respective owners.

6.3 **Limited License to Access.** Subject to your compliance with these Terms, Echoframe grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal or internal business purposes. This license does not include the right to:

(i) modify, copy, or create derivative works based on the Site or its content;

(ii) frame, mirror, or otherwise incorporate any portion of the Site into any other website or service;

(iii) download, extract, or systematically collect content from the Site; or

(iv) use the Site or its content for any commercial purpose not expressly authorized by these Terms.

6.4 **AI Restriction.** You may not use the Site, its content, documentation, screenshots, user interface, or any material obtained from the Site for the purpose of training, evaluating, fine-tuning, or developing artificial intelligence, machine learning models, or similar automated systems without Echoframe's prior written consent.

6.5 **No Implied Rights.** No rights are granted by implication, estoppel, course of dealing, or otherwise. All rights not expressly granted are reserved by Echoframe.

## 7. User Content

7.1 **User Submissions.** If you submit any content to the Site, including support requests, feedback, suggestions, reviews, forum posts, or other communications ("User Content"), you grant Echoframe a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content for any lawful business purpose.

7.2 **Feedback.** Any ideas, suggestions, enhancement requests, or other feedback you provide regarding KeyBeam Studio or the Site become the sole property of Echoframe without obligation, compensation, or attribution to you.

7.3 **Responsibility.** You are solely responsible for any User Content you submit. You represent and warrant that you own or have the necessary rights to submit such content and that your User Content does not violate any third party's intellectual property, privacy, or other rights.

7.4 **Removal.** Echoframe reserves the right to remove any User Content at any time, for any reason, without notice to you.

## 8. Third-Party Links and Services

8.1 **Third-Party Content.** The Site may contain links to third-party websites, products, or services that are not owned or controlled by Echoframe. We do not endorse, control, or assume responsibility for any third-party content, websites, or services.

8.2 **Third-Party Terms.** Your interactions with third-party services accessed through the Site, including Stripe for payment processing, are governed by those third parties' own terms and privacy policies. We encourage you to review those terms before engaging with any third-party service.

8.3 **No Liability.** Echoframe is not responsible for any loss, damage, or harm arising from your use of or reliance on any third-party content, products, or services.

## 9. Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, available at https://keybeam.studio/privacy. By using the Site, you acknowledge that you have read and understand the Privacy Policy.

## 10. Disclaimer of Warranties

10.1 **As Is.** THE SITE AND ALL CONTENT, FEATURES, FUNCTIONALITY, AND SERVICES AVAILABLE THROUGH THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

10.2 **No Warranty.** ECHOFRAME DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND COMPLETENESS. ECHOFRAME DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10.3 **No Advice.** THE SITE MAY CONTAIN GENERAL INFORMATION ABOUT KEYBEAM STUDIO, LASER CONTROL, DMX PROTOCOLS, AND RELATED TOPICS. THIS INFORMATION IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE PROFESSIONAL, TECHNICAL, SAFETY, OR LEGAL ADVICE.

10.4 **Jurisdictional Limitations.** SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR WARRANTIES ARE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.

## 11. Limitation of Liability

11.1 **Exclusion of Damages.** TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ECHOFRAME SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, COST OF SUBSTITUTE GOODS OR SERVICES, OR PERSONAL INJURY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ECHOFRAME HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 **Aggregate Cap.** ECHOFRAME'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES ACTUALLY PAID BY YOU TO ECHOFRAME THROUGH THE SITE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

11.3 **Essential Basis.** YOU ACKNOWLEDGE THAT THE LIMITATIONS IN THIS SECTION 11 ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND ECHOFRAME AND THAT ECHOFRAME WOULD NOT MAKE THE SITE AVAILABLE WITHOUT THESE LIMITATIONS.

11.4 **Jurisdictional Limitations.** SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, ECHOFRAME'S LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

## 12. Indemnification

You agree to indemnify, defend, and hold harmless Echoframe and its members, managers, officers, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

(i) your use of the Site;

(ii) your violation of these Terms;

(iii) your violation of any applicable law or regulation;

(iv) your User Content; and

(v) any claim by a third party arising from your conduct on or through the Site.

## 13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles.

## 14. Dispute Resolution

14.1 **Informal Resolution.** Before initiating any formal proceeding, you agree to contact Echoframe at licenses@keybeam.studio and attempt to resolve the dispute informally for a period of thirty (30) days.

14.2 **Arbitration.** Any dispute arising out of or relating to these Terms or your use of the Site that cannot be resolved informally shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in Denver, Colorado, USA. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Unless the arbitrator orders otherwise, each party shall bear its own attorneys' fees and costs incurred in connection with the arbitration.

14.3 **Class Action Waiver.** YOU AND ECHOFRAME AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims.

14.4 **Small Claims.** Notwithstanding the foregoing, either party may bring a claim in small claims court if the claim falls within that court's jurisdiction.

14.5 **Injunctive Relief.** Echoframe may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm, including unauthorized access to the Site, intellectual property infringement, or violation of these Terms.

## 15. Attorneys' Fees

In any action, arbitration, or proceeding arising out of or relating to these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs from the non-prevailing party, in addition to any other relief to which it may be entitled.

## 16. Availability and Modifications to the Site

16.1 **Availability.** We use commercially reasonable efforts consistent with industry practice to maintain the Site, but we do not guarantee uninterrupted, continuous, or error-free access. The Site may be temporarily unavailable due to maintenance, updates, server issues, cyberattacks, or circumstances beyond our control.

16.2 **Modifications.** We reserve the right to modify, update, suspend, or discontinue any part of the Site, including any features, content, or services, at any time and without prior notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Site.

## 17. Changes to These Terms

17.1 **Updates.** We may update these Terms from time to time. When we make material changes, we will:

(i) update the "Last Updated" date at the top of these Terms;

(ii) post the revised Terms on the Site; and

(iii) where practicable, provide notice through your account or by email.

17.2 **Acceptance.** Your continued use of the Site after the effective date of revised Terms constitutes your acceptance of the updated Terms. If you do not agree with the revised Terms, you must stop using the Site.

## 18. Termination

18.1 **By You.** You may stop using the Site at any time. For licensing records and support requests, contact us at licenses@keybeam.studio. Ending Site use does not relieve you of any payment obligations incurred prior to termination.

18.2 **By Echoframe.** We may terminate or suspend your access to the Site at any time, with or without cause, with or without notice. Termination of Site access does not automatically terminate your software license under the EULA, and termination of your EULA license does not automatically terminate all legal obligations under these Terms.

18.3 **Effect of Termination.** Upon termination:

(i) your right to access the Site and related service features shall cease;

(ii) we may delete your account information after a reasonable retention period, subject to our Privacy Policy and any legal retention obligations; and

(iii) Sections 6, 7, 10, 11, 12, 13, 14, 15, and 19 shall survive termination.

## 19. General Provisions

19.1 **Entire Agreement.** These Terms, together with the Privacy Policy, Cookie Policy, and EULA (each to the extent applicable), constitute the entire agreement between you and Echoframe with respect to the Site and supersede all prior understandings.

19.2 **Severability.** If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

19.3 **Waiver.** Echoframe's failure to enforce any provision of these Terms shall not constitute a waiver of the right to enforce that or any other provision in the future.

19.4 **Assignment.** You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Echoframe may assign these Terms freely in connection with a merger, acquisition, or sale of substantially all of its assets.

19.5 **Relationship.** Nothing in these Terms creates any partnership, joint venture, agency, franchise, or employment relationship between you and Echoframe.

19.6 **Force Majeure.** Echoframe shall not be liable for any failure or delay in making the Site available caused by events beyond its reasonable control, including natural disasters, acts of government, war, terrorism, pandemic, labor disputes, cyberattacks, denial-of-service attacks, internet or telecommunications failures, or supply chain disruptions.

19.7 **Headings.** Section headings are for convenience only and do not affect the interpretation of these Terms.
